  • Texts charged per message with a 160-character limit.
  • MMS charged at standard data roaming rate for the respective zone.
  • Voicemail retrieval overseas charged at standard outgoing call rate for that zone.

Managed Services Agreement

Standard terms for managed IT service clients
About this agreement — This document sets out the standard terms under which Evolution Technology Limited provides managed IT services. Client-specific details, fees, and SLA schedules are provided as exhibits attached to each individual agreement.
1. Services & SLA

The Service Provider agrees to provide managed IT services including network management and monitoring, data backup and recovery, cybersecurity and threat management, IT support and helpdesk, software and hardware management, regular system updates and maintenance, and quarterly backup and disaster recovery testing. All services are performed in accordance with the Service Level Agreement attached as Exhibit A.

2. Term, Fees & Payment

Initial Term & Renewal

The Agreement commences on the Effective Date and continues for one (1) year. It may be renewed for additional one-year terms by mutual written agreement at least 30 days prior to expiry. Pricing for renewal terms is subject to renegotiation.

Payment Terms

Invoices are issued monthly in advance and are due by the 20th of the invoice month. Late payments accrue interest at 1.5% per month or the highest rate permitted by law, whichever is lower.

Site Visit Costs

Site visits are billed at $150 per hour with an additional $75 travel fee for visits within Auckland. A minimum charge of one hour plus the travel fee applies.

Fees

Service fees are set out in Exhibit B of each individual client agreement.

3. Client Responsibilities

The Client shall provide the Service Provider with necessary access to premises, equipment, and personnel. The Client agrees to cooperate, provide necessary information and assistance, comply with all applicable laws and regulations, and use the Services only for lawful purposes.

4. Confidentiality

Both Parties agree to keep confidential all information disclosed that is marked as confidential or that reasonably should be understood to be confidential. Confidential Information may only be used for the purposes of this Agreement and disclosed only to those employees or agents who need to know it for such purposes.

5. Warranties & Limitation of Liability

Service Provider Warranty

Services will be performed in a professional and workmanlike manner in accordance with industry standards.

Disclaimer of Warranties

Except as expressly provided, Services are provided "as is". The Service Provider disclaims all other warranties, express or implied, including merchantability or fitness for a particular purpose.

Indirect Damages

Neither Party shall be liable for indirect, incidental, special or consequential damages including lost profits, data loss, or business interruption.

Maximum Liability

Total liability is capped at the total amount paid by the Client to the Service Provider during the 12 months preceding the date the claim arose.

6. Termination

For Convenience

Either Party may terminate with 60 days written notice. If the Client terminates for convenience, the Client is responsible for the costs for the remainder of the one-year term or a buyout calculation, whichever is lesser.

For Cause

Either Party may terminate immediately on written notice if the other Party materially breaches this Agreement and fails to cure such breach within 30 days after receiving written notice.

Effect of termination — Upon termination, the Service Provider shall cease providing Services and the Client shall pay for all Services rendered up to the date of termination.
7. General Provisions

Governing Law

This Agreement is governed by and construed in accordance with the laws of New Zealand.

Entire Agreement

This Agreement supersedes all prior agreements and communications relating to its subject matter.

Amendments

No amendment is effective unless in writing and signed by both Parties.

Severability

If any provision is found invalid, the remaining provisions continue in full force and effect.
